Article 1. Subject matter and scope
(1) These Terms and Conditions ("Coaching Terms") govern all contracts between ProductLab UG (haftungsbeschränkt) ("Productlab", "we", "us") and the Client concerning the following coaching services offered under the Productlab Leaders Studio brand (together the "Coaching Services"):
(a) one-to-one executive coaching ("1:1 Coaching");
(b) peer coaching programmes for groups of product leaders ("Leaders Circles");
(c) coaching packages for several members of a Client's team ("Team Coaching").
(2) These Coaching Terms apply in the version valid at the time the contract is concluded. Deviating, conflicting or supplementary terms of the Client do not become part of the contract unless Productlab expressly agrees to them in text form.
(3) The individual offer sent by Productlab (the "Offer") specifies the format, the Coach, the number and duration of sessions, the schedule and the price. Individual agreements, including the Offer, take precedence over these Coaching Terms (§ 305b BGB).
(4) Tickets for and attendance of Productlab events, including the Productlab Conference, the Leaders Lab and the Leaders Day, and participation in the Productlab community are governed exclusively by the General Terms and Conditions for Productlab Events and the Productlab Community.
(5) Productlab's Coaching Services are generally intended for a professional audience and for development purposes in a professional context.
Article 2. Definitions
In these Coaching Terms:
(a) "Client" means the natural or legal person who concludes the contract with Productlab and pays for the Coaching Services.
(b) "Participant" means the natural person who receives the Coaching Services. The Client and the Participant may be the same person.
(c) "Consumer" means any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or self employed profession (§ 13 BGB). A Participant who pays for the Coaching Services privately, including as an employee, is generally a Consumer.
(d) "Business" means a natural or legal person or a partnership with legal capacity who, when concluding the contract, acts in the exercise of their trade, business or self employed profession (§ 14 BGB).
(e) "Merchant" means a Kaufmann within the meaning of the German Commercial Code (HGB), a legal entity under public law or a special fund under public law.
(f) "Coach" means the executive coach selected by Productlab to deliver the Coaching Services. Coaches act as independent contractors engaged by Productlab; they do not become parties to the contract with the Client.
(g) "Group Session" means a facilitated session of a Leaders Circle;
(h) "Private Session" means an individual session between a Coach and a Participant.
(i) "Introductory Call" means the free assessment call with Productlab;
(l) "Chemistry Call" means the free call between the Participant and a Coach to assess mutual fit (for Leaders Circles, also called affinity call).
Article 3. Nature of the Coaching Services
(1) Coaching is a structured, confidential conversation process that supports the Participant in reflecting on professional and leadership situations and in developing their own solutions. Productlab owes the professional delivery of the agreed sessions, not a specific result (service contract under §§ 611 et seq. BGB).
(2) Coaching is not psychotherapy, medical treatment or any other activity reserved to licensed professions, and it does not constitute legal, tax, financial or employment advice. Coaches share their own experience as product leaders; the Participant remains solely responsible for the decisions they make and for their implementation.
(3) The Participant confirms that they take part on their own responsibility. If a Coach has reason to believe that the Participant needs medical or psychotherapeutic support, the Coach may recommend such support and suggest pausing the coaching. A pause does not terminate the contract; sessions not yet used remain available for 6 months after the coaching resumes. The statutory rights of Consumers remain unaffected.
(4) The Coaching Services are designed for people working in product management. Statements on the website about expected changes and testimonials describe the experience of previous Participants and do not constitute a guarantee.
Article 4. Application, Introductory Call and conclusion of the contract
(1) Interested persons apply through the form or contact channels on the Productlab website. Productlab will offer an Introductory Call, usually within one week, to understand the applicant's role, experience and needs and to recommend the format that fits best.
(2) Introductory Calls and Chemistry Calls are free of charge and do not create any obligation to conclude a contract.
(3) Productlab decides on admission according to objective criteria related to the purpose of the Coaching Services, in particular current role in product management, professional experience (as a rule five or more years) and, for Leaders Circles, fit with the group. Productlab will not place two Participants from the same company in the same Leaders Circle. Productlab may decline an application without stating reasons, without prejudice to the German General Equal Treatment Act (AGG).
(4) After the Chemistry Call, Productlab sends the Offer in text form. The contract is concluded when the Client accepts the Offer in text form or through the payment link provided, after having accepted these Coaching Terms. Productlab then confirms the contract in text form and sends these Coaching Terms as PDF.
(5) The contract language is English.
Article 5. 1:1 Coaching
(1) 1:1 Coaching is offered either as a fixed package of Private Sessions or as an ongoing cadence of sessions, as specified in the Offer. Sessions take place online via a video conferencing tool designated by Productlab or the Coach; in person sessions are possible where agreed with the Coach.
(2) The Participant schedules the sessions directly with the Coach. Sessions of a fixed package must be used within 12 months of the conclusion of the contract. The rights under Article 10 remain unaffected.
(3) The Participant may cancel or reschedule a Private Session free of charge up to 24 hours before its start. A session cancelled later or not attended is deemed to have taken place. The Participant may prove that Productlab saved expenses as a result of the cancellation.
(4) If the Coach cancels a session, it will be rescheduled at no additional cost.
(5) An ongoing cadence may be terminated by either party with a notice period of one month to the end of a calendar month. Article 10 remains unaffected.
(6) The Participant may request a change of Coach at any time. Productlab may, at its discretion, propose a comparable Coach, subject to availability. Sessions already held remain payable.
Article 6. Leaders Circles
(1) A Leaders Circle is a programme of thirteen weeks for a hand matched group of product leaders at a comparable career stage. Unless the Offer provides otherwise, it includes: an introduction Group Session, five themed Group Sessions and a closing Group Session; two Private Sessions of 60 minutes with the Coach; self-reflection exercises, frameworks and resources; access to a private messaging group; and a certificate of completion and a LinkedIn badge in accordance with paragraph (7).
(2) Group Sessions take place online via Google Meet or another video conferencing tool designated by Productlab. Cohorts are offered in different time slots, as stated in the Offer.
(3) A Leaders Circle as a rule consists of 10 to 12 Participants. The topic of one themed Group Session may be chosen by the Participants. Productlab composes the groups; the Participant has no right to be placed with specific persons.
(4) Payment is due after the Chemistry Call, once Productlab has confirmed fit. Productlab will inform the Participant of the start date and introduce the group at the first Group Session.
(5) If a group of at least 8 Participants cannot be formed within 13 weeks after payment, Productlab will inform the Participant without undue delay. The Participant may then choose, in text form, between (a) 1:1 Coaching of equivalent value, (b) a place in a later Leaders Circle, or (c) a full refund of the price paid. If the Participant does not make a choice within 14 days after the notification, Productlab will send a reminder in text form; if the Participant does not respond within a further 7 days, the Participant is transferred to 1:1 Coaching of equivalent value. Until the first Private Session takes place, the Participant may still request a full refund instead.
(6) Group Sessions are not recorded. If the Participant misses a Group Session, the Coach will share the key themes. Missed Group Sessions cannot be made up and do not entitle the Participant to a price reduction, unless Productlab is responsible for the cancellation. Private Sessions must be scheduled within the programme or within four weeks after its end; Article 5(3) applies to their cancellation.
(7) The certificate of completion and the LinkedIn badge are issued if the Participant has attended at least five of the seven Group Sessions. The Participant decides whether to publish the badge.
(8) Productlab may move individual Group Sessions for important reasons (in particular, illness of the Coach) with reasonable notice; the Group Session will be rescheduled. Paragraph (5) and Article 10 apply accordingly if a Leaders Circle cannot be continued.
Article 7. Team Coaching and coaching paid by a company
(1) Where a Business (for example the Participant's employer) purchases Coaching Services for one or more Participants, the Business is the Client and is solely liable for payment. The named Participants acquire their own right to receive the Coaching Services (§ 328 BGB). These Coaching Terms apply to Team Coaching unless the Offer or an individual agreement provides otherwise.
(2) The content of all sessions is confidential also towards the Client. Productlab and the Coaches do not report to the Client on the content of sessions or on the Participant's statements. Productlab may inform the Client only of the number of sessions used and of the completion of the programme, unless the Participant agrees in text form to further information.
(3) The Client may not attend sessions, access programme content or the messaging group, or request recordings.
(4) The Client may replace a named Participant before the start of the Coaching Services, subject to a Chemistry Call and, for Leaders Circles, to fit with the group. After the start, a replacement is possible only with the consent of Productlab.
(5) The Client shall inform the Participants of these Coaching Terms, in particular Articles 11 and 12, and make the Productlab Privacy Policy available to them when transmitting their data.
(6) Invoices are issued to the Client. On request, Productlab provides the documentation required for the Client's learning and development budget or procurement process, including purchase order numbers.
Article 8. Prices and payment
(1) The price is stated in the Offer. For Consumers, prices include statutory value added tax. For Businesses, prices are stated net plus value added tax where applicable; for Businesses established outside Germany, the reverse charge mechanism or the rules on the place of supply of services may apply, as stated on the invoice.
(2) Unless the Offer provides otherwise, the price is due within 30 days after receipt of the invoice and in any case before the first paid session. Payments are processed by a payment service provider. Instalments are possible only where agreed in the Offer.
(3) If the Client is in default of payment, Productlab may, after giving notice in text form, suspend the delivery of further sessions until payment is made. Statutory rights remain unaffected.
(4) The Introductory Call and the Chemistry Call are free of charge.
(5) The price of a Leaders Circle consists of the following components, which are also stated in the Offer:
(a) onboarding and programme preparation, provided in full before the first Group Session, including the composition of the group, the briefing of the Coach, onboarding materials and access to the self reflection exercises, frameworks and resources: [20] percent of the price;
(b) the introduction Group Session: [10] percent;
(c) each of the five themed Group Sessions: [8] percent, in total [40] percent;
(d) the closing Group Session: [10] percent;
(e) each of the two Private Sessions: [10] percent, in total [20] percent.
(6) If a Consumer withdraws from the contract in accordance with Article 9(2) or terminates it in accordance with Article 10(1), the amount owed for the services provided until then is calculated on the basis of the components in paragraph (5). A component counts as provided once it has been performed. A Group Session also counts as provided if it took place but the Participant did not attend for reasons attributable to them, and a Private Session also counts as provided if it was cancelled late in accordance with Article 5(3). The Consumer is entitled to prove that the value of the services provided is substantially lower.
Article 9. Right of withdrawal for Consumers
(1) Consumers have a statutory right of withdrawal in accordance with the withdrawal information in Annex 1.
(2) If the Consumer expressly requests that the Coaching Services begin before the end of the withdrawal period, the Consumer shall pay, in the event of withdrawal, an amount proportionate to the services provided until then, calculated in accordance with Article 8(6), and the right of withdrawal expires once the Coaching Services have been fully performed (§§ 356 Abs. 4, 357a Abs. 2 BGB).
(3) Except for the statutory right of withdrawal of Consumers under paragraph (1) and the rights under Articles 6(5), 10(3) and 10(4), the Client has no right to withdraw from the contract or to a refund once the price has been paid. At its discretion and on written request, Productlab may grant a refund or a transfer to a later Leaders Circle in the event of a severe problem beyond the control of the Client or the Participant, such as serious illness or a family emergency, supported by appropriate evidence.
Article 10. Termination and cancellation
(1) Alternative A (Consumers). The Consumer's statutory right to terminate under § 627 BGB remains unaffected; in this case Productlab is entitled to the remuneration for the services provided until termination, calculated in accordance with Article 8(6) (§ 628 BGB).
(2) Alternative B (Businesses). The right to terminate under § 627 BGB is excluded. If the Business cancels the Coaching Services after the conclusion of the contract, Productlab remains entitled to the agreed price, less any expenses saved; the Business is entitled to prove that Productlab incurred no loss or a substantially lower loss. The right to terminate for good cause under paragraph (3) remains unaffected.
(3) Each party may terminate the contract for good cause without notice (§§ 314, 626 BGB). Good cause for Productlab exists in particular if the Participant seriously breaches Article 11 or Article 12, harasses or threatens other Participants or Coaches, provided materially false information during the application or uses the Coaching Services for commercial solicitation. In this case Productlab is entitled to the price for the services provided and to compensation under § 628 Abs. 2 BGB; any amount paid in excess will be refunded.
(4) If the assigned Coach becomes permanently unavailable, Productlab will appoint a comparable Coach. The Participant may terminate the contract only if the replacement is not reasonably acceptable to them; in this case Productlab refunds the part of the price corresponding to the services not yet provided. Article 10(1) remains unaffected.
(5) The place of the Participant is personal and may not be transferred, sold or assigned. Article 7(4) remains unaffected.
Article 11. Confidentiality
(1) Productlab and the Coaches treat all information shared by the Participant in connection with the Coaching Services as strictly confidential. This obligation does not apply where disclosure is required by law or by a court or authority, or where it is necessary to avert a serious danger to the life or health of the Participant or others.
(2) Sessions are generally not recorded. No one, including the Participants, may record Group Sessions or Private Sessions in audio, video or by automated transcription or AI note taking tools, unless consent is explicitly gathered by all participants.
(3) Each Participant of a Leaders Circle shall keep strictly confidential the identity of the other Participants and all information shared by them, in particular personal circumstances, professional situations, information about their companies, career plans and employment status. This obligation continues after the end of the Leaders Circle without time limit.
(4) Participants may use the insights gained in their own work, share general frameworks and describe their own experiences, provided that no other Participant or their company can be identified.
(5) The obligations under paragraphs (3) and (4) also exist directly towards each other Participant of the same Leaders Circle, who may enforce them in their own name (§ 328 BGB). By accepting these Coaching Terms, the Participant signs the confidentiality agreement shared with the Participant during onboarding.
(6) Breaches of this Article may lead to exclusion under Article 10(3) and to claims for injunctive relief and damages.
Article 12. Conduct and messaging group
(1) Participants treat each other and the Coaches with respect. The rules of conduct in Article 12 of the General Terms and Conditions for Productlab Events and the Productlab Community apply accordingly. Unsolicited selling, recruiting or promotional approaches to other Participants are prohibited.
(2) Joining the messaging group of a Leaders Circle (currently WhatsApp) is voluntary. Members of the group can see each other's names and telephone numbers. The terms of use and privacy policy of the provider of the messaging service apply. Article 11 applies to all content shared in the group.
(3) The group may continue after the end of the Leaders Circle as a self organised group of its members. Productlab may leave the group or hand over administration to a member at the end of the programme.
Article 13. Materials, certificate and badge
(1) All exercises, frameworks, templates and other materials provided in connection with the Coaching Services ("Materials") are protected by copyright and other rights of Productlab, the Coaches or third parties.
(2) The Participant receives a simple, non-transferable right to use the Materials for their own professional development, also after the end of the programme. Without the prior written consent of Productlab it is not permitted to reproduce, distribute, make publicly available or sell the Materials, to use them to train or coach others commercially, or to create derivative works from them. Uses permitted by statute remain unaffected.
(3) Productlab may revoke the certificate and the badge if they were obtained through misrepresentation or if the Participant is excluded under Article 10(3).
Article 14. Testimonials and references
Productlab will publish the name, photograph, quotations, job title or company of a Participant, or refer to a Client as a reference, only with the prior consent of the person or Client concerned in text form. The consent can be withdrawn at any time with effect for the future.
Article 15. Data protection
(1) Productlab processes personal data in accordance with the GDPR and the BDSG. Details, including the role of the Coaches, the tools used and any transfers to Coaches located outside the European Economic Area, are set out in the Privacy Policy Privacy Policy.
(2) The Participant decides what information to share in sessions. The processing of notes taken by Coaches is described in the Privacy Policy.
Article 16. Liability
(1) Productlab is liable without limitation (a) for intent and gross negligence, (b) for injury to life, body or health, (c) under the German Product Liability Act (Produkthaftungsgesetz) to the extent applicable, and (d) to the extent Productlab has assumed a guarantee or fraudulently concealed a defect.
(2) Alternative A (Consumers). In case of simple negligence, Productlab is liable for other damage only for breach of an obligation whose fulfilment is essential for the proper performance of the contract and on whose compliance the Client regularly relies (essential obligation, for example the delivery of the agreed sessions and confidentiality). In this case, liability is limited to the damage typically foreseeable at the time of conclusion of the contract.
(3) Alternative B (Businesses). In case of simple negligence, Productlab is liable for other damage only for breach of an essential obligation within the meaning of paragraph (2), limited to the damage typically foreseeable at the time of conclusion of the contract. Liability for loss of profit, indirect damage and consequential damage is excluded in cases of simple negligence. Claims of Businesses for damages, other than those referred to in paragraph (1), become time barred one year after the start of the statutory limitation period.
(4) Productlab is not liable for the content of decisions which the Participant takes on the basis of the Coaching Services (Article 3(2)); paragraph (1) remains unaffected.
(5) The above limitations also apply in favour of Productlab's legal representatives, employees, Coaches and other vicarious agents.
Article 17. Amendments to these Coaching Terms
(1) Amendments to these Coaching Terms do not affect contracts already concluded for a fixed package or a Leaders Circle, unless they are exclusively to the Client's advantage or required to comply with changes in the law.
(2) For an ongoing cadence under Article 5(5), Productlab may amend these Coaching Terms where there is a valid reason, in particular changes in the law or case law or in the tools used, provided that the balance of the contractual obligations is not significantly altered. Productlab will notify the Client in text form at least four weeks before the amendment takes effect. The Client may object or terminate free of charge before that date; Productlab will point out these rights in the notification. Amendments to the price or to essential rights and obligations require the Client's express consent.
Article 18. Consumer dispute resolution
Productlab is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).
Article 19. Final provisions
(1) Should individual provisions of these Coaching Terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provisions apply in place of the invalid provision (§ 306 BGB).
(2) These Coaching Terms are drawn up in English. Where translations are provided, the English version prevails, except where mandatory consumer law provides otherwise.
(3) Declarations relating to the contract may be made in text form (§ 126b BGB), in particular by email.
(4) Businesses may assign claims against Productlab only with Productlab's consent; § 354a HGB remains unaffected.
Article 20. Governing law and place of jurisdiction
(1) These Coaching Terms and all contracts concluded under them are governed by the law of the Federal Republic of Germany.
(2) If the Client is a Consumer and Article 6 of Regulation (EC) No 593/2008 (Rome I) applies, this choice of law does not deprive the Consumer of the protection afforded by the mandatory provisions of the law of the country in which the Consumer has their habitual residence.
(3) The courts of Berlin, Germany, have exclusive jurisdiction for all disputes arising out of or in connection with contracts under these Coaching Terms if the Client (a) is a Merchant, a legal entity under public law or a special fund under public law, (b) is a Business with its seat outside Germany, or (c) has no general place of jurisdiction in Germany, in another Member State of the European Union or in a state party to the Lugano Convention. Productlab is also entitled to bring an action at the Client's general place of jurisdiction.
(4) In all other cases, in particular for Consumers with their habitual residence in a Member State of the European Union or in a state party to the Lugano Convention, the statutory provisions on jurisdiction apply.
